Terms and Conditions

These Terms and Conditions govern your use of this website and set out the general terms for services provided by PASSIVE ALTITUDE SDN. BHD. (Registration No. 201701005502 (1219667-X)), a company incorporated in Malaysia, of A-05-05, Block A, Ativo Plaza, No. 1, Jalan PJU 9/1, Damansara Avenue, Bandar Sri Damansara, 52200 Kuala Lumpur ("Passive Altitude", "we", "us"). "You" means the person or organisation using our website or services.

Acceptance and order of precedence

By using this website, you accept these Terms. By signing a quotation, placing an order or using our services, you accept them on behalf of your organisation and confirm you have authority to do so.

If documents conflict, they apply in this order: a signed agreement; the signed quotation or scope of work; our Service Policy, Fulfillment Policy and Refund Policy; then these Terms. Our Privacy Policy explains how we handle personal data.

Our services

We provide software platforms (subscription and custom-built), event technology, hospitality software and hardware, business automation consulting, websites and e-commerce builds, and related support. The scope, deliverables and fees for each engagement are set out in your quotation or agreement. We may use subcontractors, but remain responsible for their work.

Accounts

Keep your account information accurate and your login details secure. You are responsible for activity under your accounts, and must tell us promptly if you suspect unauthorised access.

Fees and payment

• Fees are as set out in your quotation or order, in Malaysian ringgit, and exclude Sales and Service Tax and other applicable taxes unless stated otherwise.
• Invoices are payable within 30 days of the invoice date. Deposits and milestone payments are due as stated in your quotation. Please raise any invoice query within 7 days.
• We may charge interest on overdue amounts at 1% per month, and may suspend services if an invoice is more than 14 days overdue after giving you written notice.
• We may change subscription fees with at least 30 days' notice before your next renewal.
• Online payments are processed by third-party payment gateways. Passive Altitude does not store card details.

When members of the public buy tickets or products through a platform we run for a client, they buy from that client, under the client's terms. Depending on the setup, payments go to the client's own merchant account, or we collect them on the client's behalf and settle them under our agreement with the client.

Your content and data

• You keep ownership of the content and data you and your users put into our services, and allow us to host and process it as needed to provide and support them.
• You are responsible for your content being lawful and accurate, and for giving your customers, attendees and staff the notices, and obtaining the consents, required by the Personal Data Protection Act 2010.
• We process personal data in your content only on your instructions, as set out in our agreement and Privacy Policy. We may use anonymous, aggregated usage information to improve our services.
• When a service ends, you can ask us to export your data within 30 days. After that, we delete it within 90 days, unless the law requires us to keep it.

Intellectual property

• We own our platforms, software, designs, templates and know-how. A subscription gives you a non-exclusive, non-transferable right to use the service for your business during the subscription.
• Deliverables made specifically for you become yours once you have paid in full, unless your quotation says otherwise. Our pre-existing materials and third-party or open-source components are licensed to you for use with them.
• Website content belongs to us or our licensors. You may view and print it for your own information, but not copy or republish it without permission.

Acceptable use

You must not, and must not let others:

• use our website or services for anything unlawful, fraudulent, infringing or misleading;
• introduce malware, or try to access, probe, overload or disrupt our systems without permission;
• copy, reverse engineer or resell our software, except as the law allows or we agree in writing;
• send messages through our email or WhatsApp features without the recipients' consent;
• sell prohibited, counterfeit or misdescribed tickets or products.

Third-party services and payment gateways

Our services work with third-party services such as payment gateways, banks, WhatsApp, email providers, cloud hosting and app stores, which have their own terms. We are not responsible for their availability or decisions, including payment approvals, chargebacks, settlement timing and fees, which are between you and the provider.

Warranties

We will provide our services with reasonable skill and care and in line with the agreed scope. Website information is general, may change, and is provided "as is". To the extent the law allows, all other warranties are excluded. Nothing in these Terms excludes rights that cannot be excluded under Malaysian law, including the Consumer Protection Act 1999 where it applies.

Limitation of liability

• We are not liable for indirect or consequential loss, or for loss of profits, revenue, business, data or goodwill.
• Our total liability for a service is limited to the fees you paid for it in the 12 months before the claim arose.
• We are not responsible for an organiser's or merchant's events, attractions, products or decisions.
• These limits do not apply to death or personal injury caused by our negligence, fraud, or anything else that cannot be limited by law.

Indemnity

You will compensate us for claims, losses and reasonable costs arising from your content, your events or products, your breach of these Terms or of the law (including data protection law towards your own customers), or misuse of our services by your users.

Suspension and termination

• We may suspend a service if fees are overdue, there is a security risk, these Terms are breached, or the law requires it. We will give notice where we reasonably can.
• Either party may end an engagement if the other commits a material breach not remedied within 30 days of written notice, or becomes insolvent.
• On termination, you must pay fees owed and return rental equipment. Terms on payment, intellectual property, liability and governing law continue to apply.

Events beyond our control

Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, power or network failures, government action or third-party outages.

Governing law

These Terms are governed by the laws of Malaysia. We will first try to resolve any dispute through discussion. If that fails, the courts of Kuala Lumpur have exclusive jurisdiction.

Changes to these Terms

We may update these Terms; the date at the top shows when. Changes to website terms apply when published. For existing services, significant changes take effect 30 days after we notify you, or at your next renewal if later.

General

If any part of these Terms is unenforceable, the rest still applies. Not enforcing a right does not waive it. You may not transfer your rights without our written consent. We may send notices to the email address on your account or quotation.
